Becoming a CentsOff Partner means that you will be a part of a family of select
web sites. To that end we require that you follow a few of our basic rules.

The CentsOff WebLink must be placed on your site and linked directly to
the CentsOff home page. If you require the link to a different page other than
the CentsOff home page, then it must be approved by ICN.

We may reject your application if we determine (in our sole discretion) that
your site is unsuitable for any reason, including, but not limited to, inclusion
of content that is in any way unlawful, harmful, threatening, defamatory,
obscene, harassing, or racially, ethnically, or otherwise objectionable.

In utilizing CentsOff WebLink, you agree that you
will co-operate fully with us in order to establish and maintain such Links. You
also agree that you will display on your site only those graphic images
(indicating a Link) that are provided by us, and you will substitute such images
with any new images provided by us from time to time throughout the term of this
Agreement. All Affiliate Sites shall display such graphic images prominently in
relevant sections of their site. All Links may be modified and/or expanded from
time to time throughout the term of this Agreement pursuant to the mutual
agreement of the parties. Each Link connecting users of your site to the
pertinent area of our site will in no way alter the look, feel or functionality
of our site.

We will not be liable for indirect, special, or consequential damages (or any
loss of revenue, profits, or data) arising in connection with this Agreement or
the Program, even if we have been advised of the possibility of such damages.
Further, our aggregate liability arising with respect to this Agreement and the
Program will not exceed the total referral fees paid or payable to you under to
this Agreement.

You will earn referral fees based on the membership fee to new subscribers.
According to fee schedules established by ICN. Subscriber fee means the
subscriber fee paid by new subscribers to the ICN CentsOff coupon delivery
service.

The Partner commission is $2.00 for each new subscriber
provided by the CentsOff partner when they make their first purchase. The CentsOff partner is paid on the 15th of April, July, October and January.
A minimum credit of $10.00 is required to be eligible for a payment.
The partner will be paid commission only when the customers make their first purchase.
All taxes on commissions earned by the
CentsOff partner will be paid by the CentsOff partner. ICN and CentsOff are NOT
responsible for paying taxes on referral commissions earned by the CentsOff
Partner.
